Strands of Vatika Campaign Terms and Conditions

1. Acceptance of Terms

By participating in the “Strands of Vatika” campaign, participants acknowledge that they have read, understood, and agreed to these Terms and Conditions.

2. Campaign Overview

The “Strands of Vatika” campaign is organized by Vatika Naturals in collaboration with Here and Now Infinity Limited (the “Agency”). The campaign aims to celebrate the diversity and uniqueness of natural hair. Participants can discover their true hair identity by answering some simple questions and might uncover hair truths, surprises, and their unique Vatika personality.

3. Eligibility and How to Enter

  • Eligibility: Participants must be 18 years of age or older and reside in the United States to be eligible to participate in this campaign.
  • Entry Requirements:
    • Participants must complete the Vatika Experience, an online questionnaire available on the campaign landing page.
    • The questionnaire includes simple questions and requires participants to upload two photographs of themselves.
    • Upon completing the questionnaire, participants will receive their Vatika personality result via email. To finalize their entry, participants must share their Vatika personality results on Instagram using the hashtag #StrandsofVatika, tag the Client’s Instagram page, and follow the Client’s Instagram page.
    • Shortlisted entries will be contacted for further participation. If shortlisted, participants will have the opportunity to become the Face of the Brand in the “Strands of Vatika” campaign. Shortlisted participants will be invited to a day-long photo shoot where they will be featured as brand custodians. Their images and content will be used across all promotional platforms, including social media, television, outdoor advertisements, and any other media chosen by the Client and the Agency.
    • By participating in this campaign, if you are shortlisted, you agree to be the Face of the Brand in the “Strands of Vatika” campaign, commit to attending the photo shoot, and allow your images to be used in all forms of promotion by the Client and the Agency.
    • One entry per participant is allowed. Joint submissions and entries made on behalf of another person will not be accepted. Incomplete or late entries will be disqualified.

4. Selection Process and Criteria

  • Judging Panel: The judging panel will consist of one representative from the Agency, two representatives from the Client, and one external judge.
  • Selection Criteria: Participants will be evaluated based on their responses to the questionnaire and how well they align with the brand’s core values: Caregiver, Authentic, Opinionated, Feminine, and Cultured.
  • Decision Authority: All decisions made by the judging panel are final and binding. No appeals or disputes regarding selection decisions will be entertained.

5. Notification and Requirements for Shortlisted Entries

  • Campaign Duration: The Vatika Experience will be available from 12:00 AM EST on September 4, 2024, until 11:59 PM EST on September 22, 2024. Any entries received outside this period will be deemed invalid and will not be considered for the shortlist.
  • Notification: Shortlisted entries will be notified via email between September 23, 2024, and September 26, 2024. If a shortlisted participant does not respond within 24-36 hours, an alternative participant may be chosen at the discretion of the Client.
  • Consent and Contract: Shortlisted participants will be required to sign a consent form and a detailed contract granting the Client full rights to use their images, videos, and content on all media platforms indefinitely.
  • Photo Shoot Details:
    • The photo shoot is tentatively scheduled for October 3 or 4, 2024, at a designated location. Shortlisted participants will be required to travel to the shoot location; however, all reasonable travel expenses will be covered.
    • The shoot will consist of both still and video sessions featuring the brand’s products.
    • Shortlisted participants must participate fully in the photo shoot as directed by the Client and Agency.

6. Compensation and Intellectual Property Rights (IPR)

  • Compensation: Shortlisted participants will receive a $100 shopping voucher and the opportunity to be featured across multiple media platforms as the face of the “Strands of Vatika” campaign.
  • Voucher Issuance: The voucher will be dispatched only after all registration requirements have been fully completed, including completing the registration process, following the designated Vatika Naturals social media handles, posting the personality postcard on their social media story, and attending the photo shoot. All conditions must be satisfied prior to the issuance of the voucher.
  • Intellectual Property Rights:
    • By participating and being shortlisted, participants irrevocably assign all rights, including but not limited to Intellectual Property Rights and Image Rights, in the content created during the campaign (including photographs, videos, and any other media) to the Client in perpetuity.
    • Participants shall have no rights or claims to the content created or used during the campaign, and they waive any moral rights to the content.
    • The Client and Agency reserve the right to use, edit, publish, and distribute the content created in any manner they see fit, without further consent or compensation to the participants.
    • Once the contract has been signed and the participant has attended the shoot, the participant cannot withdraw their consent to the use of the content. The content shall be utilized as agreed, regardless of any subsequent objections by the participant.

7. Data Protection and Privacy Compliance

  • Data Collection and Usage: By entering the campaign, participants consent to the collection, processing, and storage of their personal data by the Client and Agency solely for the purposes of this campaign. It will not be used outside the scope of this campaign or shared with any third party, except as required by U.S. law.
  • Retention and Deletion: Personal data of participants who are not shortlisted will be deleted within 10 working days after the campaign concludes. For shortlisted participants, personal data will be retained only as long as necessary for campaign purposes and will be deleted at the conclusion of the campaign.
  • Rights of Participants: Participants have the right to access, rectify, or request deletion of their personal data at any time by contacting the Client or Agency, subject to applicable U.S. data protection laws. Once consent is given for the use of data in the campaign, and if participants are shortlisted, the use of their data as outlined in this contract cannot be revoked until the end of the campaign.

8. Content Usage and Legal Compliance

  • Content Usage: All content produced as part of the campaign may be used by the Client and Agency across all media platforms, including but not limited to social media, television, print, and digital, indefinitely.

9. General Conditions

  • Modification and Cancellation: The Client and Agency reserve the right to modify, cancel, or suspend the campaign at any time without prior notice.
  • Disqualification: Entries may be disqualified if deemed inappropriate, offensive, if there is evidence of manipulation or violation of campaign rules, or if the participant is found guilty of any moral turpitude or any offense of a criminal nature.
  • Exclusivity: Participants may not participate in any competing campaigns or promotions during their involvement in the “Strands of Vatika” campaign.
  • Compliance with Laws: Participants must comply with all applicable local, state, and federal laws while participating in the “Strands of Vatika” campaign.

10. Liability

  • Disclaimer of Liability: The Client and Agency are not responsible for any technical issues, lost or delayed entries, or any loss or damage incurred by participants in connection with the campaign.
  • Indemnity: Participants agree to indemnify and hold harmless the Client and Agency from any claims, damages, losses, or expenses arising from their participation in the campaign.

11. Governing Law and Jurisdiction

By entering the “Strands of Vatika” campaign, participants agree to adhere to all the above terms and conditions.

All disputes, differences, or disagreements of any nature whatsoever connected with these terms and conditions, or any matter related thereto, shall be resolved under the laws of the State of New York and New Jersey, as applicable. The parties agree to resolve any disputes through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in New York City, New York, or Newark, New Jersey, USA, depending on the jurisdiction most relevant to the participant’s location. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding on the parties. The courts of New York or New Jersey, as applicable, shall have exclusive jurisdiction over all matters arising under these terms and conditions, to the exclusion of all other courts.
